BYLAWS OF
UNIVERSITY WOMEN’S ASSOCIATION
OF THE UNIVERSITY OF ALASKA FAIRBANKS

ARTICLE I-NAME

            The name of this organization shall be the University Women’s Association of the University of Alaska Fairbanks, hereinafter referred to as UWA.

ARTICLE II-PURPOSES

            UWA is a social/service organization whose goal is to benefit the University community.  UWA shall provide a means of welcoming new members and of promoting friendship and understanding among the various branches of the University.  UWA shall provide service to the University community through scholarships, donations and work projects.

ARTICLE III-MEMBERSHIPS

Section 1:  Types of Members

  1. Active Members.  Any individual or spouse of an individual employed by the University of Alaska Fairbanks, Statewide Programs and Services of the University of Alaska, or any state or federal agency on the Fairbanks campus shall be eligible for membership to UWA. Also, any other individual who cares to share in UWA activities and who supports the purposes of UWA shall be eligible for membership.
  2. Honorary Members.  The past and present Chancellors, the University Presidents, Regents or their spouses who reside in the Fairbanks area shall be invited to become honorary members of UWA. Honorary members may become active members by paying dues

Membership is open to everyone without regard to race, creed, color, religion, national origin, sex, age, disability, status as a Vietnam era or disabled veteran, marital status, changes in marital status, pregnancy or parenthood pursuant to applicable state and federal laws.

  1. Active Members.  Active members shall be entitled to one vote each.
  1. Honorary Members.  Honorary members shall serve in an advisory capacity and shall have full participation privileges but shall be non-voting members.

ARTICLE IV-GOVERNING BOARD

Section 1:  Composition.  The elected officers and the appointed officers of UWA shall compose the Governing Board of UWA. 

Section 2:  Duties.  The duties of the Governing Board shall be to determine policy and schedule the activities of the year.

ARTICLE V-OFFICERS

Section 1:  Offices

Section 3:  Vacancies.  In the event of a vacancy during the year in any of the named offices, a new officer may be appointed by the governing board and subsequently voted upon by the membership at the first possible general meeting.

Section 4:  Nominations.  A nominating committee appointed by the governing board shall prepare a slate of candidates, from the active members, for the election of officers.  The slate of candidates shall be submitted in written form to the UWA memberships even (7) days prior to elections.  Nominations also may be made from the floor; providing the consent of the nominee has been obtained in advance.

Section 5:  Elections.  Elections of officers shall be held at the spring annual meeting of UWA.  Election shall be by a majority of the votes cast.

Section 6:  Terms of Office.  Officers shall take office one week after University commencement and shall serve for a term of one (1) year until successors are duly elected.  Officers are eligible for re-election.

ARTICLE VI-MEETINGS

Section 1:  Governing Board Meetings.  Board meetings may be called by the president or at the request of four (4) board members as necessary.  All board meetings are open to the membership.

Section 2:  General Meetings.  The general meetings of UWA shall be held at the call of the president, or at the request of four (4) board members, or at the request of twelve (12) active members.  All UWA members shall be given written notice of general meetings at least seven (7) days in advance.

Section 3:  Annual Meetings:  The annual meeting of UWA shall be held in the spring of each year at a time and place determined by the governing board.  The purpose of the annual meeting shall be to elect officers, approve dispersal of UWA year-end funds and to conduct such other business as may arise.

 

Section 4:  Quorum

  1. Board.  A quorum for a meeting of the UWA governing board to conduct business shall be a majority of the membership of the board.
  1. Membership.  A quorum for a general or annual meeting of the UWA membership to conduct business shall be those active members present, provided a majority of the governing board is included. 

Section 5:  Voting.  Approval of UWA business items shall be by a simple majority vote of those active members present at the meeting.

ARTICLE VII-AMENDMENTS

These Bylaws may be amended by a two-thirds (2/3) vote of the membership present at a designated general meeting, provided the change shall have been submitted to the membership in written form seven (7) days prior to the meeting at which the amendment is to receive action.

 

ARTICLE VIII-RULES OF ORDER

Robert’s Rules of Order shall be used as a guide for UWA meeting procedures.
